Introduction *** These Terms and Conditions (the "Terms") constitute a legally binding agreement between Gacha Pull Inc., ("Gacha Pull," "Company," "we," "our," or "us"), and any individual or entity accessing or using the Gacha Pull services (the "User" or "Participant"). The Terms govern use of the Gacha Pull website, applications, platforms, functions, features, and services, including but not limited to collectible card pulls, buyback mechanisms, redemption and fulfillment processes, account management, communication, shipping, and all related or ancillary offerings (the "Service"). By registering an account, making a pull, redeeming or receiving a collectible, accepting a Buyback Offer, or otherwise transacting or interacting with the Service, the Participant expressly acknowledges and agrees to be bound by these Terms. If these Terms conflict with supplemental or promotional terms relating to specific features (including but not limited to sweepstakes, giveaways, or contests), the supplemental terms shall govern solely as to that feature. 2. The Service *** Gacha Pull provides a gamified marketplace where Participants acquire and trade “Digital Twins” of collectible trading cards and other physical assets (together, "Assets"). Each Digital Twin represents a specific individual physical Asset, as listed and verified by the original seller (the "Seller"). While the Digital Twin exists as a digital record on the platform, the underlying physical Asset is securely managed and vaulted with professional vault service providers. Upon acquisition of a Digital Twin, the buyer (the "Buyer"), buyers may: * Continue to utilize custodial storage and security services for their Asset through Gacha Pull; * Resell or trade the Digital Twin on supported marketplaces, thereby transferring ownership of the corresponding underlying Asset; or * Submit a redemption request through the Service, upon which Gacha Pull will deliver the physical Asset to the verified owner, and the corresponding Digital Twin will be permanently removed (or “burned”) to signify redemption. Access to certain features of the Service, including the acquisition of Digital Twins, requires use of a digital wallet linked to the Participant's account. Gacha Pull may provide Participants with hosted wallet functionality, or Participants may connect their own software-based wallets compatible with the Service. Transactions involving Digital Twins, including purchases, transfers, and resales, are processed through third‑party wallet providers and blockchain infrastructure. All such transactions are subject to the terms of the respective wallet and blockchain operators. Gacha Pull does not operate the blockchain networks on which Digital Twins are issued, nor does it control third-party wallets. Private keys, passwords, wallet data, and similar credentials remain solely under the control of Participants. Certain information, including wallet addresses and transaction records, may be publicly viewable on the applicable blockchain. Gacha Pull does not assume responsibility for performing transactions on behalf of Participants, and bears no liability for blockchain-related disruptions, errors, forks, or vulnerabilities. 3. User Agreements, Representations, and Warranties *** To access and use the Service, each Participant must be at least eighteen (18) years old, or otherwise legally capable of forming a binding agreement in the relevant jurisdiction. By accessing and using the Service, each Participant hereby agrees to and represents and warrants the following to Gacha Pull and its affiliates: 3.1 Information and Eligibility * Accurate, current, and complete information shall be provided upon registration and updated as necessary. * Account security and any risks relating to stolen credentials, fraudulent access, or unauthorized activity are the responsibility of the Participant. * The Service may not be resold, sub-licensed, rented, or accessed through unauthorized tools, bots, or clients. 3.2 Compliance and Verification * Gacha Pull may request additional documentation to comply with legal, tax, anti-money laundering, or counterterrorism regulations. * Transactions may be paused or cancelled until such information is provided. Failure to cooperate may result in restrictions on account activity or denial of use. 3.3 Pulls, Inventory, and Substitutions * Each pull is a fixed-price transaction that delivers a Digital Twin of a randomly-assigned Collectible. A Participant may purchase a specific price point ticket but cannot pre-select a specific Collectible. * Where a tier or Collectible is out of stock, a Mystery Card of equal or greater value will be issued. * Collectibles may exist as (i) Graded Digital Twins, representing unique, serialized physical cards, or (ii) Raw Digital Twins, representing ungraded cards where multiple copies may exist. * If a raw Collectible is unavailable at fulfillment, another raw Collectible of equal value shall be substituted. 3.4 Delivery and Redemption * Upon completion of a pull, the Digital Twin is assigned to the Participant’s account wallet. * Redemption of the underlying physical Asset, if available, requires compliance with additional verification, identity checks, shipping, and applicable fees and taxes. * Assets redeemed physically result in the permanent burning of the corresponding Digital Twin. 3.5 Payments and Pricing * Pricing, taxes, shipping, fees, and costs shall be disclosed at point of sale. * All pulls are final and non-refundable once payment is confirmed. * The Company shall not reverse or unwind completed blockchain or payment transactions, except where explicitly required under law or Company policy. 3.6 Buyback Offer and Fair Market Value * A Participant may be presented with a Buyback Offer permitting resale of the Digital Twin to Gacha Pull. * The buyback price is determined as a percentage of "Fair Market Value," assessed solely at Gacha Pull’s discretion, using proprietary valuation methods. * Fair Market Value is final and non-negotiable. * Buyback Offers are discretionary, may be time-limited, and are not guaranteed to reoccur. 3.7 Guarantees and Assumptions of Risk * Gacha Pull does not guarantee the specific outcome of any pull, the continued availability or marketability of any item, or the value or timing of any Buyback Offer. * Participants assume all risks associated with randomization, digital transactions, blockchain processing, user error, and potential third‑party misconduct. * All sales are final, and Collectibles cannot be returned or exchanged outside of the provisions stated herein. 3.8 Legal Standing and Authority * The Participant has the authority and legal right to engage in transactions, and such participation does not violate any laws, sanctions, or third-party obligations. * The Participant is informed, experienced, and acting independently without reliance on any representations or warranties made by Gacha Pull regarding collectibles’ future value or legal status. 3.9 Asset Return in Insolvency * In the event of Company insolvency, bankruptcy, or discontinuation of operations, procedures will be established to return physical Assets in custody. * The Participant shall bear shipping and tax costs. Returns must be requested within three (3) months, and no monetary compensation shall be issued beyond physical return of the Asset. 8. Ownership and Intellectual Property *** Unless otherwise stated in writing: * Content, trademarks, designs, logos, text, graphics, software, and related materials within the Service are the exclusive property of the Company or its licensors. * Collectibles obtained through pulls are transferred to the Participant upon fulfillment, subject to substitution provisions. * All rights not expressly granted to Participants are reserved. 9. License to Use the Service and Content *** The Company provides Participants with a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes. The license does not permit resale, modification, unauthorized framing, or data extraction from the Service. 10. User Content *** The Participant grants the Company a worldwide, royalty-free, sublicensable license to use any content submitted, uploaded, or otherwise provided through the Service for promotional, operational, or functional purposes. 11. Disclaimers *** To the maximum extent permitted by applicable law: * The Service, including pulls, Collectibles, Marketplace features, Buyback Offers, and associated content, is provided "as is" and "as available," without warranties of any kind. * The Company does not guarantee any specific card outcome, market value, future liquidity, uninterrupted operation, error-free fulfillment, or security beyond reasonable safeguards. * Risks associated with digital transactions, randomization, internet connectivity, user error, or third-party attacks (including fraud, phishing, and hacking) are expressly assumed by Participants. 12. Limitation of Liability *** To the fullest extent permitted by applicable law: * The Company shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages. * Liability for direct damages shall not exceed the greater of: (i) USD $100; or (ii) the amount retained by the Company from the specific pull or transaction giving rise to the claim. 13. Indemnification *** Participants agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, employees, and agents from all claims, damages, losses, expenses, and liabilities arising from breach of these Terms, misuse of the Service, violations of law, or third-party rights claims relating to Collectibles or transactions. 14. Dispute Resolution *** * All disputes shall first be attempted to be resolved amiably. * Unless otherwise prohibited by applicable law, disputes shall be resolved by binding arbitration on an individual basis. * Class actions, representative claims, or consolidated proceedings shall not be permitted. * A Participant may opt out of arbitration within thirty (30) days of acceptance of these Terms by written notice to the Company. 15. General Provisions *** * These Terms are governed by the laws of \[Insert Governing Jurisdiction]. * Export, import, and trade compliance laws apply. The Service may not be used in embargoed jurisdictions. * If any section of these Terms is found unenforceable, the remaining provisions remain in effect. * The Company reserves the right to modify, suspend, or discontinue any aspect of the Service, with or without notice. Continued use constitutes acceptance of changes. 16. Giveaways and Promotions *** From time to time, the Company may conduct promotional events, sweepstakes, or giveaways. Such promotions shall be subject to official rules specific to each event, and in the event of conflict, the official rules shall govern. 17.
